Vista Outdoor has agreed to acquire California-based Fox Racing, the mountain bike, motocross and lifestyle gear provider, for US$540 million.
For calendar year 2022, Fox Racing’s full-year net sales and adjusted EBITDA are expected to be approximately US$350 million and US$55 million, respectively. Vista Outdoor expects the transaction to be immediately accretive (adding top-line value) to earnings – excluding transaction costs, transition costs and inventory step-up.
In addition to the US$540 million purchase price, there is also potential for an additional US$50 million earnout based on Fox Racing’s financial performance.
Fox Racing reportedly grew net sales by a compound annual growth rate (CAGR) of approximately 20% from calendar year 2019 to 2021 and is expected to grow in excess of that in calendar year 2022.
Brands in the Vista portfolio include CamelBak, Bell helmets, and Giro – with Fox Racing seen to complement vista’s existing brand portfolio, expanding its positions in helmets, protective gear and apparel for and mountain biking and motocross.

Jeffrey McGuane, CEO of Fox Racing, will continue to lead the company following the closing of the acquisition, as will all of Fox Racing’s leadership team.
